TL;DR: Holders of about 50.5% of Bruton Limited (BRUT), Koch Inc. among them, have agreed to exchange into International Seaways (INSW) stock at 0.0519 shares per Bruton share and to vote for the merger, according to Bruton's announcement. Holders of 10,000 NDRs or fewer get cash instead. Bruton expects the exchange on or about October 20, 2026, and the merger to close in early November.

The voting commitment is the part to watch. A majority of the votes is now pledged to the deal before most other shareholders have said anything. What follows separates what the company itself says from what summary sites say, because the two do not always match.

What did International Seaways and Bruton agree to?

They signed three linked documents: exchange and support agreements, a transaction agreement, and a Bermuda statutory merger agreement. TradingView's summary of the SEC filings says the transaction agreement merges an International Seaways subsidiary with Bruton, and that the Bermuda agreement is what legally effects the combination under Bermuda law.

These are the same mechanics covered in our explainer on what a merger sub does. The subsidiary does the merging, and the parent's shares and cash are what holders receive.

    What do Bruton holders receive?

The answer turns on how many shares you hold. Bruton's shares trade through NDRs, the depositary receipts that represent them. Per Bruton's announcement, holders of more than 10,000 NDRs receive International Seaways common stock at the same 0.0519 ratio as the exchange. Holders of 10,000 or fewer get cash equal to the NOK equivalent of USD 6.3044 per share.

The 10,000 line is a small-holder cash-out, and it changes your position. A holder just under it ends up with cash and no exposure to the buyer. A holder just over it owns International Seaways stock and carries whatever that business does next, including a share price that can move before and after the vote.

    How big is the deal?

Bruton's announcement, as far as the excerpt reads, gives no total price. Some summary sites print a headline value, but none of them is the 8-K itself, so this article leaves it out. Treat the size of the deal as unconfirmed until you have read International Seaways' filing.

    When does it close?

Bruton's release puts completion in early November 2026, subject to customary conditions, including approval by majority vote at a Special General Meeting. The exchange comes first, expected on or about October 20.

The announcement also says holders who validly exercise dissenter rights under the Bermuda Companies Act 1981 are excluded from the merger consideration. The excerpt does not say what those holders would receive instead, so anyone considering that route needs the full document and a qualified adviser.

What does a pledged 50.5% mean for other holders?

Locking up about half the shares through support agreements before the meeting is how a buyer takes much of the risk out of a shareholder vote. It does not remove regulatory or closing conditions, and the excerpts available here do not list them.

The same pattern showed up in the AIRE and OceanLight merger: the first announcement gives you the terms, and the later filings give you the risks. The headline deal is rarely the whole story.

    Common mistakes

The most frequent one is reading the 0.0519 ratio as a price. It is a ratio, so what lands in your account is worth whatever International Seaways stock is worth that day.

Another is ignoring the 10,000 threshold. Which side of it you sit on decides whether you end up with cash or with stock.

A third is trusting a site that re-reports the filing. Several carry these figures, and some are automated summaries. The company release and the 8-K are the record.

    FAQ

What is the exchange ratio? Each Bruton share converts to 0.0519 International Seaways shares, according to Bruton's announcement. Holders of 10,000 NDRs or fewer receive cash instead, the NOK equivalent of USD 6.3044 per share.

Who has agreed to the deal so far? Holders of approximately 50.5% of Bruton's shares, including Koch Inc., per Bruton's announcement. They agreed to exchange into International Seaways stock and to vote for the merger.

When will the merger close? Bruton says early November 2026, subject to customary conditions, including a majority vote at its Special General Meeting.
