Anthropic IPO: What the S-1 Still Doesn't Answer
TL;DR: Anthropic filed its preliminary IPO prospectus this week, and CNBC described it as the fullest look yet at the fundamentals of a pure play AI lab. It reports $16.29 billion in revenue and a $2…
Downside first. The filing answers less than the headlines suggest, and if you hold Anthropic through a fund, an SPV or a secondary position, the gaps below are the ones that touch your money.
How fast is revenue growing, and can it keep up?
The growth is steep. The BBC rounds first-half revenue to $16.2 billion, so small differences between outlets are rounding, not disagreement.
The open question is the cost of the next dollar. Violeta Todorova of Leverage Shares told CNBC that "it is unclear how much it costs to generate each additional dollar of revenue as computing demand increases." Growth that slows while compute demand climbs is the pair to watch.
How big are the compute commitments?
Outlets disagree, and the filing itself is partly blank. Wired reports that the aggregate committed-spend figure in the S-1 is redacted. The tallies below come from different reporters adding up different line items.
| Outlet | What it reports |
|---|---|
| Yahoo Finance | More than $500 billion in compute spending commitments in the coming years |
| Wired | About $417 billion in leases since Dec. 31, 2025, plus $245 billion added since June 30 |
The spread comes from scope. Wired also reports a further $125 billion to $150 billion in expanded agreements that "have not yet been finalized." Until the redacted figure is filled in, treat every total as one reporter's sum. Don't pick a favorite. Part of this story was told earlier in Inside Anthropic's Massive, Wild IPO Prospectus.
Why does a huge loss sit beside positive cash flow?
The BBC reports an $80.7 billion loss for the first half, double what the company lost across all of 2025. Yet Fortune reports that the S-1 shows operations generated $3.9 billion in free cash flow in the first half of 2026. So the loss is not the cash burn, and the cash flow statement is the page to read, not the headline. Read it.
Fortune also puts adjusted operating margin at 19% in the latest quarter. That figure leaves out stock-based compensation, non-cash charitable contributions and copyright settlement payments, which explains the adjusted margin and nothing about the loss. What drives the loss itself, neither outlet says. The company warns repeatedly in the filing, per Fortune, that these trends might not continue.
What is the valuation, and who controls the company?
There is no price yet. Yahoo Finance reports that a pricing range will appear in an amended filing when the roadshow begins. The BBC says the company is widely expected to debut at $2 trillion or more, while CNBC cites an expected valuation over $1 trillion. Both are expectations, not terms.
Control is already set. CNBC reports that seven co-founders, including CEO Dario Amodei, hold special voting power through a single Class F share equal to 50.1% of total voting power. Public shareholders would buy economics without a majority vote. What the filing discloses about leadership pay is covered in Dario Amodei's pay in the IPO filing.
How concentrated is the customer base?
Axios reports that Anthropic's five largest customers accounted for approximately 25% of revenue in the first nine months of 2026. Axios also reports nearly 2,000 customers paying $1 million or more a year, and half the Fortune 500 paying $100,000 a year. That breadth cuts against the concentration. Still, a quarter of revenue from five buyers deserves a full read of the risk factors.
Common mistakes
Sizing a position off a single compute total is the easy trap.
Another is treating the $80.7 billion loss as cash going out the door. Fortune's free cash flow figure points the other way.
Expected valuations also get mistaken for an entry price. They are neither. If you are an indirect holder, ask your manager how the position is marked today and how many fee layers sit between you and the shares. The last private round is analyzed in our Series H valuation analysis, and the risk language in the draft is covered in the filing's existential-risk warning.
FAQ
When will we know what Anthropic's IPO prices at?
Not yet. Yahoo Finance reports a pricing range will come in an amended filing released when Anthropic begins its roadshow. The preliminary S-1 that is public now carries no range, so any price you see today is an expectation.
Will Anthropic be the biggest IPO in history?
The BBC reports the company is widely expected to debut at a valuation of $2 trillion or more, which would make it the largest stock listing in history. That rests on expectations, since no price range has been set.
What should an indirect holder check now?
Check the vehicle's own documents. Ask how the position is marked, what fees apply and whether a lockup follows a listing. The public coverage cannot answer those for a specific fund or SPV.
What to do today
If you hold Anthropic through a fund or SPV, email the manager and ask how the position is valued today and what lockup applies after a listing. Then sign up free for the AIN Briefing, and we'll flag the amended filing and its compute commitments note when the price range lands.
